Have you lost money investing in Polo Road Associated Living LLC, Chestnut Independent Living LLC, Highlands Assisted Living LLC, Oklahoma Operating LLC, Cedala LLC, or Arcadia Partners? We are investigating allegations made by FINRA, the Financial Industry Regulatory Authority, against Anthony J. Cantone, Christine L. Cantone, and the securities brokerage firm that they own and operate, Cantone Research, Inc. FINRA alleges that from 2010 to 2013, Anthony Cantone, Christine Cantone and their company misrepresented risks of investing in $8 million in “certificates of participation” and promissory notes of entities ran by Christopher F. Brogdon. Many of these notes defaulted, causing significant losses for investors.
FINRA alleges that Christopher Brogdon sold a number of certificates of participation and promissory notes through two of his companies, Brogdon Family LLC and Chelsea Investments LLC. These companies sold investments in a number of assisted living and nursing homes. Cantone Research was alleged to have sold a vast majority of the Brogdon related investments. FINRA alleged that Cantone Research failed to adequately disclose that Brogdon was twice barred from the securities industry, that Brogdon was indicted for racketeering, theft, and Medicaid fraud, and that several of Brogdon’s entities had filed for bankruptcy. Cantone also was alleged to have attempted to conceal the default of these investments by “covering” the purported interest payments for these investments. FINRA seeks to force Cantone Research, Anthony Cantone, and Christine Cantone to disgorge their commissions from these sales.
Investors were promised 10% interest and a return of their principal investment. There were a number of related entities in which investors could purchase the certificates of participation and promissory notes:
- Columbia Financial LLC, which offered notes in Polo Road Assisted Living LLC, which was purportedly in South Carolina;
- Chestnut Financial LLC, which offered notes in Chestnut Independent Living LLC and Highlands Assisted Living LLC, which were purportedly in North Carolina;
- Oklahoma Financial LLC, which offered notes in Oklahoma Operating LLC;
- Cedars Financial LLC, which offered notes in Cedala LLC; and
- Cherokee Financial LLC, which offered notes in Arcadia Partners, which was purportedly in Georgia.
Anthony Cantone and Christine Cantone have both been affiliated with Cantone Research since at least 1996. Cantone Research’s main office is located in Tinton Falls, New Jersey.
In a similar action, the Securities and Exchange Commission brought a complaint against Christopher F. Brogdon and related entities, alleging fraud.
Brokerage firms like Cantone Research have a responsibility to adequately supervise all representatives who are registered through their firm. Brokerage firms also must take steps to ensure that their financial advisors follow all securities rules and regulations, as well as internal firm policies. When brokerage firms fail to adequately supervise their registered representatives, they may be liable for investment losses sustained by customers.
