DiversyFund Growth REIT II’s Regulation A Exemption Temporarily Suspended

In March 2022, the SEC temporarily suspended the registration exemption for the DF Growth REIT II.  According to the SEC administrative proceeding, the DF Growth REIT II failed to comply with the provisions of Regulation A of the Securities Act of 1933.

The SEC also alleged that DiversyFund Growth REIT II also made materially misleading misrepresentations in its January 2021 offering circular and an August 2021 supplement.  In particular, the SEC alleged that the offering materials misrepresent REIT II being separate from REIT I and regarding how much capital REIT II needs to raise from investors, its plan of operation, and its fees.  Further, the SEC alleged that a reasonable REIT II investor would consider it important to know if the investment’s success depended on REIT I or how much money REIT II raised.

The order temporarily suspending the Regulation A exemption went into effect on March 16, 2022.
